Acceptance of terms

By accessing or using the CRYTCL platform and services ("Service") operated by CRYTCL Inc. ("CRYTCL," "we," "our," or "us"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms, do not access or use the Service. These Terms apply to all visitors, users, and others who access the Service.

Description of service

CRYTCL provides an AI infrastructure platform and related advisory services designed to help organizations build durable AI programs. The Service includes web-based tools, dashboards, integrations, and supporting features made available through crytcl.com. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice. If we decide to discontinue the Service entirely, we will give you advance notice and a refund for any prepaid, unused portions of your subscription.

Eligibility and accounts

You must be at least 13 years old, or the minimum age required in your country to consent to use online services, to use the Service. If you are under 18, you must have permission from a parent or legal guardian. By using the Service, you represent that you meet these age requirements.

To access certain features of the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security and confidentiality of your login credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately at legal@crytcl.com of any unauthorized use of your account

You may not use another person's account without permission. We reserve the right to suspend or terminate accounts that violate these Terms.

Intellectual property

The Service and its original content, features, and functionality are and will remain the exclusive property of CRYTCL Inc. and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent. Nothing in these Terms grants you any right, title, or interest in the Service beyond the limited license to use it as described herein.

User content, data, and AI output

You retain ownership of any data, content, or materials you submit to the Service ("Input"). By submitting Input, you grant CRYTCL a limited, non-exclusive license to use, process, and display that content solely to provide and improve the Service. You represent that you have all necessary rights to submit your Input and that it does not violate any third-party rights or applicable law.

Content generated by the Service in response to your Input ("Output") is assigned to you to the extent permitted by applicable law. You are responsible for evaluating Output for accuracy and appropriateness before use. You acknowledge that:

  • Output may not always be accurate, complete, or current
  • Output should not be used as a sole source of truth or as a substitute for professional advice
  • Output should not be used to make consequential decisions about individuals (e.g., employment, credit, housing, medical treatment)
  • Similar Output may be generated for other users due to the nature of AI systems

We may use Input and Output to provide, maintain, and improve the Service and to comply with applicable law. You can opt out of your content being used for AI model improvement in your account settings.

We appreciate your feedback. You agree that we may use feedback you provide about the Service without restriction or compensation.

Prohibited uses

You agree not to use the Service to:

  • Violate any applicable law or regulation
  • Transmit any material that is unlawful, harmful, defamatory, obscene, or otherwise objectionable
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity
  • Attempt to gain unauthorized access to any portion of the Service or related systems
  • Interfere with or disrupt the integrity or performance of the Service, including circumventing rate limits, restrictions, or safety measures
  • Use any automated means, including bots or scrapers, to access the Service without our express written consent
  • Reverse engineer, decompile, or disassemble any software component of the Service, including any underlying models or algorithms, except to the extent prohibited by applicable law
  • Use the Service to develop a competing product or service
  • Represent that AI-generated Output was human-generated when it was not

Payment terms

Certain features of the Service may require payment of fees. If you elect to use paid features, you agree to pay all applicable fees as described at the time of purchase. All fees are non-refundable except as required by law, as expressly stated in a separate written agreement, or as described in the discontinuation provision above. We reserve the right to change pricing with 30 days' notice. Any price increase will take effect on your next renewal period so you may cancel if you do not agree.

Disclaimer of warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, SATISFACTORY QUALITY, AND NON-INFRINGEMENT. CRYTCL DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ACCURATE OR ERROR-FREE, OR THAT ANY CONTENT WILL BE SECURE OR NOT LOST OR ALTERED. YOUR USE OF THE SERVICE AND ANY OUTPUT IS AT YOUR SOLE RISK.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CRYTCL, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE, EVEN IF CRYTCL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL CRYTCL'S TOTAL LIABILITY TO YOU EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE AMOUNTS PAID BY YOU TO CRYTCL IN THE TWELVE MONTHS PRECEDING THE CLAIM. CRYTCL'S AFFILIATES, SUPPLIERS, LICENSORS, AND DISTRIBUTORS ARE INTENDED THIRD-PARTY BENEFICIARIES OF THIS SECTION.

Some jurisdictions do not allow the disclaimer of certain warranties or the limitation of certain damages, so some or all of the above may not apply to you. In that case, these Terms limit our responsibilities to the maximum extent permissible in your jurisdiction.

Indemnification

If you are a business or organization, to the extent permitted by law, you agree to defend, indemnify, and hold harmless CRYTCL and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service.

Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, if you breach these Terms, we are required to do so by law, or your use of the Service poses risk or harm to CRYTCL, our users, or others. We may also terminate inactive accounts that have been inactive for over one year and do not have an active paid subscription, with advance notice. Upon termination, your right to use the Service will immediately cease. All provisions that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability. If you believe your account was suspended or terminated in error, contact us at legal@crytcl.com.

Dispute resolution and arbitration

Informal resolution

Before filing any claim, you agree to try to resolve the dispute informally by contacting us at legal@crytcl.com. We will attempt to resolve the dispute by contacting you at your account email. If a dispute is not resolved within 60 days, either party may proceed to arbitration as described below.

Binding arbitration

YOU AND CRYTCL AGREE THAT ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL BE RESOLVED BY FINAL AND BINDING ARBITRATION, RATHER THAN IN COURT, EXCEPT THAT YOU OR CRYTCL MAY BRING INDIVIDUAL CLAIMS IN SMALL CLAIMS COURT, OR SEEK INJUNCTIVE OR OTHER EQUITABLE RELIEF IN COURT TO STOP UNAUTHORIZED USE OR ABUSE OF THE SERVICE OR INTELLECTUAL PROPERTY INFRINGEMENT. You may opt out of arbitration by sending written notice to legal@crytcl.com within 30 days of first agreeing to these Terms.

Class action and jury trial waiver

YOU AND CRYTCL AGREE THAT DISPUTES MUST BE BROUGHT ON AN INDIVIDUAL BASIS ONLY. CLASS ARBITRATIONS, CLASS ACTIONS, AND REPRESENTATIVE ACTIONS ARE PROHIBITED. YOU AND CRYTCL KNOWINGLY WAIVE ANY RIGHT TO A TRIAL BY JURY IN ANY ACTION, PROCEEDING, OR COUNTERCLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE.

Copyright and DMCA

We respect intellectual property rights and expect users to do the same. If you believe that content on the Service infringes your copyright, please send a notice to our designated Copyright Agent that includes:

  • A physical or electronic signature of the copyright owner or authorized agent
  • Identification of the copyrighted work claimed to be infringed
  • Identification of the allegedly infringing material and its location on the Service
  • Your contact information (address, telephone number, and email address)
  • A statement that you have a good-faith belief the use is not authorized by the copyright owner
  • A statement that the information in the notice is accurate and, under penalty of perjury, that you are authorized to act on behalf of the copyright owner

We may remove or disable content alleged to be infringing and will terminate accounts of repeat infringers where appropriate.

Trade controls and export compliance

You must comply with all applicable trade laws, including US export control laws and economic sanctions regulations. The Service may not be used in or for the benefit of, or exported or re-exported to: (a) any country or territory subject to US embargo or comprehensive sanctions; or (b) any individual or entity identified on a US government restricted-party list, including the Treasury Department's OFAC SDN list or the Commerce Department's Entity List. The Service may not be used for any end use prohibited by applicable trade laws.

General provisions

Assignment

You may not assign or transfer any rights or obligations under these Terms without our prior written consent; any attempt to do so will be void. We may assign our rights or obligations under these Terms to any affiliate, subsidiary, or successor in interest without restriction.

Non-waiver

Our failure to enforce any provision of these Terms is not a waiver of our right to do so in the future. No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.

Severability and entire agreement

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect. These Terms, together with our Privacy Policy, constitute the entire agreement between you and CRYTCL regarding the Service and supersede all prior and contemporaneous agreements, representations, and understandings.

Governing law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Except as provided in the dispute resolution section above, any legal action or proceeding arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.

Changes to these terms

We reserve the right to modify these Terms at any time. We will give you at least 30 days' advance notice of changes that materially and adversely affect you, either via email or an in-product notification. All other changes will be effective as soon as we post them. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must stop using the Service.
